As a pre-IPO Company, Vivace provides stock options to all of its employees.
The employee stock plan contains a standard vesting of 4 years with a one-year
cliff date. This means that on your one year anniversary with the Company, 25%
of your stock will vest automatically. Thereafter, the stock will vest on a
monthly basis over the next 3 years. Employees also have the option to purchase
or early exercise unvested shares.

Vivace offers the choice between a PPO plan or an HMO plan on medical coverage.
Both plans have a $10.00 co-payment and offer prescription, emergency care,
mental health programs, and a variety of other services to meet your overall

Vivace offers a comprehensive dental plan that provides Preventive Care, Basic
Services and Major Services for employees and their dependents. No matter what
dentist you choose, teeth cleanings twice a year are covered at 100% and should

Vivace offers Short Term Disability insurance at 66 2/3% of base weekly earnings
up to a a maximum of $2,300 per week after 7 days of disability. Long Term Disability
starts after 90 days of disability and consists of 66 2/3% of base monthly earnings
up to a maximum of $10,000 per month.

Spending Account |
|
Vivace offers a Flexible Spending Plan of Health Care and Dependent Care Spending
Accounts to offer employees the chance to save tax dollars on out-of-pocket
expenses such as copayments, orthodontia, and child care. Employees get reimbursed
using tax free funds that have been set aside for eligible healthcare and/or
dependent care expenses. Reimbursement for eligible expenses can go to a maximum
of $5,000 for either the Health Care or Dependent Care Accounts. Vivace also
offers a Premium Only Plan (Sec 125) to add dependents on the medical plan for
a nominal cost on a pre-tax basis.

Assistance Program |
|
Vivace offers an EAP that is accessible 24 by 7 for employees and their dependents.
All consultations are confidential. The EAP provides a referral program to community
resources as well as up to 3 personal counseling sessions per family member
with a licensed, certified therapist at no charge. Extended visits will be coordinated
with the medical insurance or made available at significantly discounted rates.

Retirement Plan |

Vivace offers immediate enrollment in a 401(k) retirement savings plan to
all eligible employees. The plan offers 12 mutual funds of varying risk level
to defer up to 20% from each paycheck on a pre-tax basis. For a nominal fee,
employees also have the choice to got outside of the 12 standard mutual funds
offered and open a Charles Schwab Personal Choice Retirement Account. Most loans
and rollovers are also accepted in the plan.

Club Reimbursement Program |

As our commitment to your health, Vivace offers a special program to encourage
our employees to stay healthy and work out at a local gym of their choice. With
all the free food and intensive eating in the Company, we felt it was only right
to reimburse a portion of the monthly fees for joining a health club!

Holidays
And Paid Time Off |
|
Vivace understands the need for reducing stress and burnout in our employee's
lives. Toward that end we offer a total of 10 paid Company Holidays per year
and up to 3 weeks of Paid Time Off (PTO) which accrues at 5 hours per pay period
for a total of 120 hours per year. Manager approval is required for utilization
of the PTO.
